1. Description of Service

LA Studio provides browser-based AI audio processing tools, offered through a free tier and optional paid plans (Pro monthly/annual subscriptions and non-renewing 24-hour/30-day passes), including but not limited to: vocal removal and isolation, audio stem separation (drums, bass, vocals, guitar, piano, other), noise removal and audio enhancement, AI-powered audio mastering, BPM and key detection, and multi-track audio editing (DAW). Core-tool audio processing is performed locally within your web browser using WebGPU and ONNX Runtime Web technologies. Certain cloud-based features (such as high-quality vocal separation, music generation, reference mastering, and cloud project saves) transmit audio or project data to our servers or third-party processors solely to provide the requested feature.

2. Acceptance of Terms

By accessing or using the Service at la-studio.cc, you agree to be bound by these Terms of Service. If you disagree with any part of the Terms, you may not access the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

3. User Responsibilities

As a user of the Service, you agree to: use the Service only for lawful purposes and in accordance with these Terms; not use the Service to process audio content that you do not have the right to use, modify, or distribute; not attempt to interfere with, compromise, or disrupt the Service or its underlying infrastructure; not use the Service to infringe upon the intellectual property rights of any third party; not use automated tools, bots, or scripts to access the Service in a manner that could impair its performance; and comply with all applicable local, national, and international laws and regulations.

4. Intellectual Property

Your Content: You retain full ownership of any audio files you upload to and process through the Service. LA Studio does not claim any ownership rights over your audio content. For tools that run locally in your browser, we never receive your audio at all. For features that require cloud processing (see Section 1), the audio needed for that feature is transmitted and processed for that purpose and is not retained afterwards, except where you deliberately save it. When you save a project to your account, or keep an AI-generated loop in your library, we store that file so that we can serve it back to you, and you may delete it at any time.

Content you save: You keep ownership of what you save. To operate the Service we need your permission to store and deliver it back to you, so by saving content you grant LA Studio a non-exclusive, worldwide, royalty-free licence to host, store, reproduce and transmit that content solely for the purpose of providing the Service to you. This licence ends when you delete the content. We will not publish, redistribute or include your saved content in any sample pack or other public collection unless you separately and explicitly opt in.

Our Content: The Service, including its original content (excluding content provided by users), features, and functionality, is and will remain the exclusive property of LA Studio and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

AI Models: The AI models used in the Service are provided under their respective open-source licenses. LA Studio does not claim ownership of the underlying model architectures or weights where they are licensed by third parties.

AI-generated audio: Audio generated for you by the Service, such as loops and backing tracks, is yours to use, including commercially. It is produced by third-party models and is provided as is; we make no warranty that generated audio is original or free of third-party rights, and you are responsible for checking that your use of it is lawful. Generation features are built on Stable Audio Open models by Stability AI, used under the Stability AI Community Licence, and some of them include text encoders provided under the Google Gemma Terms of Use. By using these features you agree not to use them, or their output, in any way prohibited by the Stability AI Acceptable Use Policy or the Gemma Prohibited Use Policy, and not to use the models or their output to create or improve any competing foundational generative AI model. We may suspend access to the generation features for any account that breaches these restrictions.

5. Copyright and DMCA

LA Studio respects the intellectual property rights of others. The Service is designed as a tool for legitimate audio production and editing purposes. Users are solely responsible for ensuring that their use of the Service complies with applicable copyright laws. We do not condone or encourage the use of the Service for copyright infringement. If you believe that your copyrighted work has been used in a way that constitutes copyright infringement through our Service, please contact us at support@la-studio.cc.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall LA Studio, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: your access to or use of, or inability to access or use, the Service; any conduct or content of any third party on the Service; any content obtained from the Service; unauthorized access, use, or alteration of your transmissions or content; or loss or corruption of audio files during processing.

7. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. LA Studio does not warrant that (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your specific requirements or expectations regarding audio quality.

8. Third-Party Advertising

The Service displays advertisements provided by third-party advertising networks. These advertisements may contain links to third-party websites or services that are not owned or controlled by LA Studio. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that LA Studio shall not be responsible or liable for any damage or loss caused by the use of any such third-party content, goods, or services.

9. Indemnification

You agree to defend, indemnify, and hold harmless LA Studio and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any copyright, property, or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

10. Governing Law

These Terms shall be governed and construed in accordance with applicable laws, without regard to conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

11. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms.
